Terms of Service

These Terms of Service ("Terms") govern your use of this website, the client portal, and any engineering services provided by ArcVoltix ("we," "us," or "our"). By using this site or engaging us, you agree to these Terms.

Who we are

ArcVoltix is a United States-based PCB engineering practice offering schematic capture, PCB layout, DFM review, prototyping, and manufacturing coordination. Contact: protocircuitlabs@gmail.com.

Use of the website

You may use this website for lawful purposes related to evaluating or using our services. You agree not to:

  • Interfere with or disrupt the site or any underlying systems.
  • Attempt to access areas you are not authorized to use.
  • Submit false, misleading, or unlawful information.
  • Upload malicious code or infringing content.

Engagements and separate agreements

Submitting a quote request does not create a binding engagement. Engineering work begins only after a quote is accepted and any required deposit is received. Each engagement is governed by a separate Statement of Work or order confirmation ("SOW") that describes scope, deliverables, schedule, and fees. In the event of a conflict between an SOW and these Terms, the SOW controls for that engagement.

Fees, invoicing, and taxes

Fees, milestones, and payment terms are set out in each SOW or invoice. Unless stated otherwise, invoices are due within the period listed on the invoice. Late amounts may accrue a reasonable late fee or interest charge as permitted by law. All fees are exclusive of applicable taxes, which are your responsibility.

Deliverables and intellectual property

Upon full payment of the fees for a given engagement, and subject to the terms of the applicable SOW, the custom deliverables we create specifically for you (such as schematics, layout files, and BOMs) become your property. We retain ownership of our own pre-existing materials, tools, methods, and know-how, and of any improvements or generic components developed in the course of our work, and we grant you a non-exclusive license to use those materials as needed to use the deliverables.

Third-party components, libraries, firmware, or IP included in deliverables remain subject to their own licenses.

Confidentiality

We treat project information and files you share with us as confidential and use them only to perform the engagement. We are happy to sign mutual non-disclosure agreements on request. Our confidentiality obligations do not apply to information that is public, independently developed, or required to be disclosed by law.

Client portal

Access to the client portal is provided to the individuals we authorize for a given project. You are responsible for keeping your sign-in credentials and any magic-link emails secure, and for the activity of anyone who accesses the portal through your account. Notify us promptly if you suspect unauthorized access.

Warranty and manufacturing

We perform our services in a professional and workmanlike manner and will correct material defects in deliverables reported to us within a reasonable period after delivery, as detailed in the applicable SOW.

Manufacturing, assembly, and shipping are performed by third-party partners and are subject to their own specifications, lead times, and warranties. We coordinate these partners on your behalf but do not manufacture boards ourselves. Except as expressly stated, all services and deliverables are provided "as is" and we disclaim all other warranties, express or implied, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, ArcVoltix and its owners, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to the website, the client portal, or any engagement.

Our total aggregate liability for any claim arising out of or related to an engagement will not exceed the fees actually paid to us under the SOW giving rise to the claim during the three months preceding the event on which the claim is based.

Indemnification

You agree to indemnify and hold ArcVoltix harmless from third-party claims arising out of (a) content or materials you provide to us, including infringement of any third-party rights, and (b) your use of deliverables outside the scope of the SOW.

Portfolio and references

Unless you tell us otherwise in writing, we may describe an engagement at a high level for portfolio or marketing purposes without disclosing confidential details or proprietary design files. On request we will anonymize or omit any reference to your work.

Suspension and termination

We may suspend or terminate access to the website or the client portal if we reasonably believe it is being misused or if required by law. Either party may terminate an engagement as provided in the applicable SOW. Fees for work performed up to the effective date of termination remain payable.

Governing law

These Terms are governed by the laws of the United States and the state in which ArcVoltix is principally located, without regard to conflict-of-law rules. The state and federal courts located in that state will have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above. Continued use of the website or client portal after an update constitutes acceptance of the revised Terms.
